Terms of Service

The public terms for Gerai’s corporate website, merchant platform, and the technology used in merchant-to-buyer storefront interactions.

1. Scope and acceptance

These Terms of Service apply to access to and use of Gerai’s corporate website, merchant platform, Gerai-powered storefront technology, and related communications and tools (together, the Services). Gerai is operated by World Council for AI PTE. LTD..

By using the Services, creating or using a merchant account, or acting for an organisation that uses the Services, you agree to these terms. If you act for an organisation, you confirm that you are authorised to bind it. If you do not agree, do not use the relevant Service.

A merchant may have a separate written order, proposal, statement of work, or agreement with Gerai. That document governs the commercial and service terms it specifically covers. These public terms do not invent or replace individually agreed pricing, billing, cancellation, refund, service-level, support, warranty, liability, or dispute provisions.

2. Roles in a purchase

The merchant is responsible for its:

  • product descriptions, images, prices, availability, and legal right to sell;
  • buyer-facing terms, required disclosures, and consumer-protection obligations;
  • acceptance, rejection, preparation, fulfilment, delivery, and cancellation of orders;
  • returns, refunds, warranties, complaints, and product support; and
  • tax, licensing, record-keeping, and regulatory duties arising from its sales.

Buyers should direct product and order questions to the merchant. Gerai may help route information or support a technical investigation, but that does not make Gerai a party to the underlying sale.

3. Merchant accounts

Merchant access is for businesses and people authorised to act for them. Account information must be accurate and kept current. Each user must use the access method assigned to them and must not share credentials or allow unauthorised access.

Merchants are responsible for:

  • deciding who may administer their storefront and promptly removing obsolete access;
  • activity performed through their authorised accounts;
  • protecting devices, credentials, connected accounts, and recovery channels;
  • checking storefront, catalogue, order, and payment-status information for accuracy; and
  • notifying Gerai promptly of suspected compromise or unauthorised activity.

Gerai may require information reasonably needed to verify an organisation, an authorised user, or a request that affects account control or sensitive information.

4. Merchant responsibilities

A merchant using Gerai must:

  • comply with applicable laws and the Acceptable Use Policy
  • have the rights and permissions needed for all content, products, brands, and data it supplies;
  • give buyers accurate and non-misleading information;
  • maintain appropriate buyer terms and privacy notices for its business;
  • use buyer information only for lawful, disclosed purposes;
  • review AI-assisted output before it is published or relied on; and
  • cooperate with reasonable steps to investigate security, fraud, rights, or safety concerns.

A merchant must not represent that Gerai endorses the merchant, guarantees its products, or assumes the merchant’s obligations unless Gerai has expressly agreed to that statement in writing.

5. Buyer use

Buyers may use a Gerai-powered storefront to browse a merchant’s catalogue, maintain a cart, provide information needed for an order, initiate payment through an available licensed payment service, and communicate about the transaction.

Buyers must provide accurate order and contact information and must not:

  • place fraudulent, unlawful, or intentionally misleading orders;
  • use another person’s identity, payment method, address, or account without authority;
  • interfere with the storefront or attempt to bypass access or security controls; or
  • use storefront communications to threaten, harass, spam, or deceive others.

The merchant may accept, reject, or otherwise manage an order according to the merchant’s own buyer-facing terms and applicable law. A storefront acknowledgement is not a promise by Gerai that the merchant has accepted or will fulfil the order.

6. Payments and fulfilment

Gerai does not hold buyer funds. Buyer money is handled by licensed payment services and settles to the merchant’s own account. Payment credentials are submitted to and handled by those services under their own terms. Gerai may receive references and status information needed to connect the payment event with the order.

Availability of a payment method does not mean that Gerai is the payment provider or that Gerai guarantees authorisation, settlement, reversal, or dispute outcomes. The merchant is responsible for configuring and maintaining its payment relationship and for reconciling orders against the records supplied by its payment service.

Shipping, collection, delivery estimates, stock, substitutions, cancellations, returns, and refunds are matters between the buyer and merchant, subject to applicable law and the merchant’s terms. Gerai may provide technical workflow, but does not take custody of goods.

7. Content and intellectual property

Gerai materials

Gerai and its licensors retain their rights in the Services, software, interfaces, documentation, brand, and materials that Gerai supplies. These terms permit use of the Services for their intended purpose; they do not transfer ownership of Gerai technology or marks.

Merchant and buyer content

A merchant or buyer retains whatever rights it lawfully holds in content it submits. It grants Gerai permission to host, copy, format, display, transmit, and otherwise process that content only as reasonably needed to provide, secure, maintain, and support the Services and the relevant transaction.

The person supplying content confirms that it is authorised to do so and that Gerai’s use for those purposes will not infringe another person’s rights. Gerai may remove or restrict content where reasonably necessary to address illegality, infringement, deception, security, safety, or a breach of these terms.

Feedback

If you voluntarily provide suggestions about Gerai, you permit us to consider and use the underlying ideas without an obligation to implement them or treat them as confidential, unless we have agreed otherwise in writing.

8. AI-assisted features

Gerai’s AI features are narrow tools that can assist with defined commerce tasks, such as preparing catalogue material or handling routine parts of a conversation. AI output is labelled where relevant, can be inaccurate, incomplete, or inappropriate, and must not be treated as an authoritative statement from a merchant or Gerai.

Merchants remain responsible for reviewing content and decisions relating to their products, orders, buyers, and legal obligations. Matters requiring judgement, exceptions, or reliable confirmation should be escalated to a person. Additional detail appears in the AI Transparency Notice.

9. Acceptable use and enforcement

The Acceptable Use Policy forms part of these terms. It prohibits unlawful products and conduct, rights violations, harmful content, deception, platform abuse, security interference, and misuse of personal data or AI.

Gerai may investigate suspected misuse and take proportionate action, which may include requesting information or correction, limiting particular content or functions, suspending access, preserving relevant evidence, or reporting matters where legally required. Urgent action may be taken where needed to protect people, rights, merchants, buyers, or the Services.

Enforcement by Gerai does not transfer the merchant’s legal responsibilities to Gerai and does not create a general obligation to monitor every product, message, order, or user.

10. Third-party services

The Services may connect to payment, messaging, communications, hosting, or other third-party services. Those services are controlled by their respective providers and may require a separate account or acceptance of separate terms and privacy notices.

Gerai is not responsible for a third party’s independent service, decision, content, or availability. Merchants are responsible for selecting and maintaining the third-party services they use and for ensuring that their configuration is lawful and appropriate.

11. Privacy and data

The Privacy Policy explains Gerai’s personal-data practices. The Cookie and Browser Storage Notice explains functional cart storage and server-side operational analytics.

In merchant-to-buyer interactions, the merchant controls many purposes for which buyer data is collected and used. The merchant must provide its own legally sufficient notices and instructions. Enterprise customers that need contractual processing terms should review the Data Processing Addendum information page; that page is not an executed agreement.

12. Service changes and ending use

Gerai may change the Services as products, technology, law, security needs, and merchant requirements evolve. A separate merchant agreement may set notice, transition, or service commitments; none are created by this public page.

A merchant may ask to end its use through the applicable account or contact process, subject to any separate agreement and outstanding responsibilities. Gerai may restrict or end access for a material breach, unlawful conduct, security threat, non-payment under an applicable agreement, legal requirement, or discontinuation of the relevant Service.

Before ending use, merchants should export or preserve information they are required to keep. Personal data remaining after termination is handled according to applicable law, Gerai’s role, merchant instructions, legitimate operational needs, and the Privacy Policy.

14. Changes and contact

Gerai may update these terms to reflect changes to the Services, law, or business practices. The effective and last-updated dates above identify the current public version. Where an applicable agreement or law requires another form of notice or consent, that requirement prevails.
